Terms of Service

The service-specific contract that applies when you use Clkly. These Terms of Service sit alongside our general Terms and Conditions and govern the day-to-day use of the platform.

These Terms of Service (“ToS”) supplement our Terms and Conditions with service-specific rules covering service levels, data, subscription mechanics, and termination. If anything here conflicts with the Terms and Conditions, the Terms and Conditions take precedence.

1. Service description

Clkly is a CRM and outreach platform operated by UtilitySEO Ltd. It provides link tracking, email outreach, contact management and workflow automation through a web app at app.clkly.xyz and supporting APIs at c.clkly.xyz.

2. Subscription plans and billing

  • Plans are billed at the workspace level. The workspace owner is the billing contact and consents to recurring charges. Members joining paid workspaces inherit the workspace's features at no per-seat cost (subject to member limits).
  • Prices, currencies and plan features are set out on the pricing page. VAT and other taxes are added at checkout where applicable.
  • Paid plans renew automatically until cancelled. You can cancel from your account settings at any time; the plan will remain active until the end of the current billing period.
  • We may adjust pricing with at least 30 days' notice. New prices only apply on your next renewal.

3. Trials and promo codes

We may offer free trials and promo codes. Unless otherwise stated, trials automatically convert to paid at the end of the trial period. You can cancel before conversion from your account settings to avoid being charged. Promo codes may be used once per customer and expire according to the terms displayed at redemption.

4. Your data

  • Ownership. You own all content you upload or create in Clkly (“Your Data”), including contacts, templates and workflows. We do not claim ownership of it.
  • Licence to operate the service. You grant us a limited licence to store, process and transmit Your Data solely to operate the service on your behalf.
  • Portability. You can export Your Data in standard formats at any time. We will honour export requests up to 30 days after account closure.
  • Deletion. On account closure we delete Your Data within 30 days, except where retention is required by law (such as financial records).

5. Service availability

We aim for high availability but do not guarantee uninterrupted service. Scheduled maintenance is announced in advance. We are not liable for downtime caused by factors outside our reasonable control (e.g. DNS provider failure, upstream network outage).

6. Acceptable use

Use of Clkly is subject to our Usage Policy. Serious or repeated breaches of the Usage Policy may result in suspension or termination without refund.

7. Termination

  • You may cancel your subscription from your account settings at any time.
  • We may suspend or terminate your account if you breach these ToS, the Usage Policy, or the Terms and Conditions, or if a payment fails and is not cured after reasonable notice.
  • On termination, outstanding fees remain due; we do not refund partial subscription periods unless required by law.

8. Liability and warranty

Clkly is provided “as is” without implied warranties of merchantability, fitness for a particular purpose, or non-infringement. Our total aggregate liability is capped as set out in the Terms and Conditions.

9. Changes

We may update these ToS from time to time. We will notify you of material changes by email and/or via an in-app notice. Continued use after changes take effect constitutes acceptance of the revised ToS.
